“Can’t Make This Stuff Up” Dept.: If Hinderaker Hasn’t Personally Met Someone Of A Given Group — The yMust Not Exist.

What John (still very much the hick from the rural Dakotas) doesn’t know… is that he’s probably met and worked with more than a few people who are in fact, trans.

Certainly he has — as to L/B/G+. But whatever.

His latest bit of bigotry tonight openly opines that trans people must not exist, solely because… he doesn’t personally know any.

Damn, son — your cheese has fully slid off… your cracker.

And with these entries, I will be fully ready — to offer some “sunshine” — when you return to Twitter. [Oh. Heh — he’s back — how very droll. A link to this will be there in moments.]

Just… Damn.

We Inch Ever Closer, To Full Science Ops — Out There, At L2… Grin!

A NASA | ESA |Goddard YouTube video explainer follows… at the bottom of this post, but with all the optics ready to go, now it is just testing the tolerances and fine tuning all the ancillary intruments.

That still puts us two months from full science ops, but she is getting very close to ready, now — her wonders to reveal:

…Alignment of NASA’s [Next Gen] Space Telescope is now complete. After full review, the observatory has been confirmed to be capable of capturing crisp, well-focused images with each of its four powerful onboard science instruments. Upon completing the seventh and final stage of telescope alignment, the team held a set of key decision meetings and unanimously agreed that [the ‘scope] is ready to move forward into its next and final series of preparations, known as science instrument commissioning. This process will take about two months before scientific operations begin in the summer….

Though telescope alignment is complete, some telescope calibration activities remain: As part of scientific instrument commissioning, the telescope will be commanded to point to different areas in the sky where the total amount of solar radiation hitting the observatory will vary to confirm thermal stability when changing targets. Furthermore, ongoing maintenance observations every two days will monitor the mirror alignment and, when needed, apply corrections to keep the mirrors in their aligned locations….

Now you know. A video explainer follows… here, now:

Hinderaker’s Naked Racism… On Full Display, This Morning.

No surprise here — nothing new — at all.

But once again, Hinderaker takes a launching point offered ostensibly by “law enforcement”, to leap-frog directly to racial and ethnic invective. Jingoistic, as well. A triple threat, that.

The sheriffs’ letter he posts is simply about border security, and while I disagree with the letter’s suggestions — that is a policy discussion, as the association has previously acknowledged. And Mr. Biden has come out differently than Tangerine — again, no surprise. That can be a principled disagreement, to be certain.

But, John simply uses it as a spring-board — into what are literally the “Top Five” KKK talking points.

He claims that Mr. Biden intends to steal national elections by importing millions of undocumented persons who will vote with the Democrats, due to illicit pressure from Biden (and, impliedly, renewed threats of deportation).

I repeat his odious comment (in orange) here — for context (mine in blue, below). Trigger warning: this is precisely the same as 1890s KKK and Know-Nuthin’ Party mantras, to a tee:

“…[Democrats] are trying to change America’s demographics.[Ed. Note: demonstrably false; far more immigration is driven by opportunity, for better lives in the US — so-called “supply side”, not “demand, from Democratic Party attempts-” side.] They know that many illegals will vote due to our lack of election integrity [also false, BTW], and in any event, the children of those millions of illegals will be eligible to vote. Democrats think that most of those new voters will vote Democratic. That is the sole explanation for their eagerness to nullify the immigration laws….”

He is a depraved, embittered… sad old man.

Soon enough, the worms will have their way with his rotted mind — and the Infinite will have Her way, with… what he regards, at least… as his soul.

And he will be found… wanting — lacking, as to “the least of his brothers…” in the words of Matthew 25:35-46.

Out.

All As “Musk’s Folly” Now Approaches A Wipe-Out, Of $200 Billion In Market Cap At Tesla — In Three Elapsed Days…

I really don’t have a lot more to say, here: Tesla is off sharply again this morning on the NASDAQ, trading down to $836 and change (from over $1,000, late last week).

That makes it over a $200 billion (that’s with a “B”, folks!) destruction in shareholder equity at Telsa, just since Monday morning — off almost 20% on the week, so far.

I’d particularly note that as an all cash offer, Mr. Musk’s obligation does not decline — even if Twitter is worth far less by closing time, based on its quarterly results (or lack thereof).

The chief culprit (at Tesla) is the (rightful) concern that the not-so-hot Q1 2022 results announced at Twitter this morning increase the probability that Mr. Musk will see more of his Tesla shares sequestered into the margin account, by the seven multinational investment banks financing his bid — and it looks increasingly likely that he will need to sell a large chunck of his Tesla holdings, to pay off his equity share of the $44 billion purchase price.

So. . . net, net — I’d put it at about even odds… like 55/45, that one way or another, this deal doesn’t close in 2022 — or perhaps, at all.

He is, if nothing else, prone to rash decisions — and then, backing out of the same. As he showed in his losing motion, in federal court yesterday, in Manhattan — about his 2018 SEC agreed settlement. He must live with that, and it too will put pressure on him, in the slow march toward any potential Twitter closing.

We shall see. Onward, grinning. Ever, grinning.

Merck Loses More Great — And Diverse — Talent: Garay To Be Chief Commercial Officer Of mRNA Vaccine Breakthrough Innovator Moderna…

Back to power alley stuff, this morning — as by my reckoning, this is at least seven high level departures from Rob Davy’s leadership team in just under five months.

Not that (in this tight market for real pharma executive market) good people don’t “test the waters” and listen to offers… but this is of concern, given what I know about his management style.

The departing talent was all assembled under Mr. Frazier, and his leadership style was far more team oriented than Mr. Davis’s. This is the sort of thing that slows growth, longer term — the training and back-filling, and distraction of having other good people take on “two jobs” for a period during transitions. We shall see — but Moderna is clearly getting a great lateral here — good news for them (per the fine reporting at FiercePharma), and her:

…On May 31, Arpa Garay will enter the Moderna fold as chief commercial officer, the company said Wednesday. As a member of the biotech’s executive committee, Garay will report to Moderna helmsman Stéphane Bancel.

At Merck, Garay is responsible for the company’s long-term portfolio strategy and global marketing for approved and pipeline products. She nabbed a promotion to her current position back in February….

It is particularly telling (in my view, at least) that she is leaving right after getting a (likely longer-term, hard fought-for) big promotion. So, do be excellent, to each other… smile.

Elon Is Already Violating The Section 6.8 “No Mean Tweets” Clause On Page 50.

So… buckle up for some federal court theater / potential deal-litigation, on what Musk can and cannot tweet, as the deal progresses.

I imaged the Tweet at right, since it has been screen capped, and given a boost on the hard-right social site called “gab[dot]com”. Charming, Elon. [Just how immature is he?]

My point in using that reprint is to show why the merger agreement clause on page 50, was written.

No one censored free speech, at Twitter.

That is a lie. And “Truth Social” exists because Tangerine got bounced for CONDUCT, not speech — the conduct was exhortations in a conspiracy to commit an act of insurrection against the federal government (and his own VP) in session certifying his own election loss. He targeted the Speaker, the Majority Leader and… yes, his own VP.

Since lies are per se defamatory, and libelous… Musk has violated his only one day old merger covenants.

This stuff matters, because the price discovery in the capital markets, relies on truthful speakers at the head of public companies. Mostly it is an honor system, so one needs highly ethical officers, ones who do not need “hall monitors” to remind them to… follow the law.

In a bit of timely irony, Mr. Musk’s “hall monitor” at SEC… and an able USDC Judge sitting in Manhattan, reminded Elon in court today, lying about matters that affect the price of securities… is itself a felony.

It may well be that the SEC will now move toward a bar, keeping him away from public companies (like Tesla) for a period of time, given the events of last November, and his arguable inside selling group. Losing Tesla (even for just a year or two) would be much worse for him than being bounced out of the Twitter bidding, but both are on the table now — as Twitter remains… a ’34 Act company until (any) closing.

[And, as a side note, we expect ugly results tomorrow in the Q1 2022 report from Twitter. But don’t lose the object lesson, here — Musk is the clearly wrong guy to run that company.]

It is astonishing that the soon to be No. 2 (not No. 1) wealthiest person in the world needs contractual restrictions around defaming people with false tweets, on a system he wants to “improve” — by leading it.

I N S A N E.

If You Have To Remind Your Incoming “Head Honcho” Not To Disparage The Company He’s Going To “Lead” — By Tweet… The “Thing (Kinda’) Speaks For Itself.”

This is clearly a “second decade of the 21st Century” merger clause — but I suspect it is going to prove to be unique… used only in the Twitter / Musk deal (whew — busy morning, in the graphics dept.!).

To wit: Mr. Musk has covenanted in the merger agreement, now public in SEC filings, yesterday… not to Tweet disparaging statements about the company or the lawyers, bankers or… the terms of his $44 billion purchase transaction… as it lumbers toward a close… likely late in Q4 2022 (despite what the pressers say).

Res Ispa Loquitur, baby (i.e., he’s already beclowned himself). The delicious irony of a “gag” of sorts, on Musk himself — to say nothing of what the clause suggests about his maturity level… is jaw-slacking. [Of course, once the deal is closed — he can “mean tweet” all he wants — and injure his own investment — to his heart’s content!]:

…Section 6.8 Public Announcements. (at page 50) [Elon Musk] shall be permitted to issue Tweets about the Merger or the transactions contemplated hereby so long as such Tweets do not disparage the Company or any of its Representatives. ..

You couldn’t make such stuff up, if you tried. Even so, I am fairly certain the bankers will, as a condition of continuing the three year lending after closing (should one occur) insist that this non-disparagement clause remain in effect, until the loans are fully retired. Charming. Grinning ear to ear — this is simply becoming… A Fellini-esque The Theatre of the Absurd.

It Is Lawful, NOT To Tell Line Workers That An All-Hands Meeting AGAINST Unions… Is “Voluntary” — But It Is… A Cheap Tactic, Condor Sez…

After losing the first vote literally just across the street, on Staten Island… Amazon’s labor relations geniuses switched up their tactics.

During the campaign Amazon lost, work stoppages and the ensuing meetings were mandatory. All employees, because the company was still paying them by the hour to be on the clock, had to attend. Discipline was meted out for failure to attend.

Now, as the new, second campaign across the street has unfolded, Amazon managers have conceded that the meetings are technically voluntary… but only here, as voting is underway. As before, in the first campaign, the company pushed its anti-union messages in “cattle call” meetings, often at start of shift, so the workers would have to keep working after the meeting. The prior approach was to let the shift end on the end of the meeting.

In either case, it is my experienced opinion that withholding an important fact (whether a meeting is required, or optional — for example) does not engender trust, in any reasonably sensible workforce. So, either way, I am going to predict that the union has won the second vote on Staten Island. We should hear one way or another by Friday night. Here’s the latest story on the state of the play, from The Independent:

…The work stoppages weren’t intended to give workers a break, but to funnel them into captive-audience meetings wherein LDJ5 managers — as well as union-busting consultants and managers from other states — would extol the virtues of Amazon and denounce the union….

After the conveyors shut down, workers are shuffled toward the back of the warehouse. “Managers start corralling people,” says Mitchell-Israel. “They start coming around like, ‘hey, we got a meeting in the back.’” The managers — anywhere from 10 to 20 on a given day — don’t tell workers the meeting is about the union. “[Managers] just say it’s a meeting with the vice president of HR, the general manager is going to speak,” says Mitchell-Israel.

So-called captive-audience meetings are typically mandatory, management-led meetings held during working hours to counter pro-union messaging and sow anti-union sentiments….

Multiple workers at LDJ5 say that those who hadn’t been recorded attending a meeting would be approached one-on-one by a manager, taken off the floor, and asked to watch a video of the anti-union speech, which lasts roughly half an hour. It’s unclear how many workers at LDJ5 were aware that the meetings weren’t mandatory and how many refused to watch the video….

As I say — these are decidedly-last century tactics… and the emerging trend data shows… they do not work, in the new millennium — not any more. Damn.

Once Again, “Proving” ONLY That Hinderaker Is Very Bad — At Statistical Analysis, And… Science, Generally.

No shocker there, overnight. Recall that he repeatedly told probably the worst public-health-impacting lie of the last century’s span, through the Summer and Fall of 2020. He claimed the dying was mostly over. That was at under 80,000 deaths in the US alone. We are well over ten times that here, coming up on almost two years later. And he told that repeated lie after many corrected him — and did it spouting (see archived bottom graphic here) what he called “statistical analysis.” As I said then, I say now:

Do sit down, and sit this one out, champ. John — you are out of your league. Again, with likely lethal results.

This time, he cites a wholly post-hoc “short note” comparison (not a peer reviewed study, at all) of various in-country data that only covers the second, or “Delta wave” period, of COVID-19 (i.e.,when many central European countries were not masking much any longer) — and offers the headline that it is “proof” that masks don’t work. Damn, son. Just… damn.

The differences overwhelm the similarities, and the author of the note plainly admits that. But John doesn’t print that part — at all. It is highly likely that, as the pandemic wore on, the most elderly, and most immuno-compromised people were most likely NOT to stop wearing masks — despite evidence that Delta was less lethal. So the higher death rate simply reflects more people were dying — there is zero causation here. Again, the author candidly admits it — but Hinderaker runs a wholly false headline — knowing full well that correlation is NOT causation.

Second (though there is much more to say, but these two items are plenty to debunk Hinderaker’s new lies), the data — even as presented, makes no accounting for vaccinations. It is absolutely true that in regions where more than 70% vaccination rates were achieved, by Summer of 2021, there would be less concern about lethality. Reams of data on that score.

So, in countries that were more highly-masked, it is very likely that vaccination rates were well below 70%. That is, people were dying off, more due to relatively-low vaccination rates in poorer central European countries. Without filtering out vaccination as a factor, this “note” from a non-peer reviewed source is worse than useless. And John knows it — but he launches an idiot headline (and a dangerous lying one, at that) just the same.

The only comparable data would be from countries where vaccination rates were near US rates, and in similar sized populations with good access to affordable health care.

That data is nowhere in John’s post, nor in the author’s note.

So, stop lying, Hinderaker. That is a public health lie, in your headline.

Out.

Remember OSIRIS-REx? Her NEW Designation will be… OSIRIS-APEX! And She Will Dazzle Us All, Come 2029.

As I type this, the gracefully-demure craft, now loaded with surface-, and sub-surface samples… is racing speedily away from Bennu (per our prior posts, there) — after firing its main engine, last May, to head toward home — this very lil’ blue dot we’re all on.

And now, since every single bit of this mission has been a wild success, the NASA big-wigs just “green-lit” an extension — to late 2029, minimum. Before all that (still a daunting task, to be sure — traversing some 183,914,048 miles, since May 2021) she needs to get safely back by home, and gently drop that Bennu sample pack to the Earth’s surface, by parachute.

Then it will turn outward, and onward, away from our “capture velocity” gravitational forces, and set a bold top-sail — for Apophis, a little more than small mountain-sized rock — that next makes a close approach to Earth by mid-2029. By then, OSIRIS will have chased onward, behind it, in a gently arching loop… so that it may approach at nearly walking speed, so as not disturb the micro-gravity there… and study it for several months (as she did Benu, a decade earlier, by then — or so it is hoped).

We likely won’t get a sample return, from Apophis, as I think we are just fresh out of canistersonboard OSIRIS-, but she will graze the surface, and blow some dust away — to get a good look at the Apophis sub-surface composition. Exciting stuff, out of Goddard, overnight, per Phys.org — more soon (when I get time, in a separate posting):

“…Apophis is one of the most infamous asteroids,” DellaGiustina said. “When it was first discovered in 2004, there was concern that it would impact the Earth in 2029 during its close approach. That risk was retired after subsequent observations, but it will be the closest an asteroid of this size has gotten in the 50 or so years asteroids have been closely tracked, or for the next 100 years of asteroids we have discovered so far. It gets within one-tenth the distance between the Earth and moon during the 2029 encounter. People in Europe and Africa will be able to see it with the naked eye, that’s how close it will get.

We were stoked to find out the mission was extended. . . .”

Stoked, indeed! But to be clear, it poses no collision risk, to Earth. It offers a window (like Bennu, the samples of which will have been fully analyzed by 2029) into what the primordial local star systems, and their respective host-galaxies… congealed into. Can’t… wait!
